Flamingo AI Payment Terms
Version: 1.0
Effective date: October 14, 2026
Applies to: Paid plans of OpenFrame SaaS, the OpenFrame service hosted by Flamingo AI
1. Who These Terms Cover
1.1 These Payment Terms apply to paid OpenFrame plans sold by Flamingo AI, Inc. ("Flamingo AI", "we") to a customer organization ("Customer", "You"). They are part of the Terms of Service. Where these Payment Terms set a notice period or a consequence for non-payment, they apply in place of the general rule in the Terms of Service. OpenFrame is sold for business use only.
1.2 Current prices, token prices and token rates are shown in the product and on our website. The price that applies to a purchase is the one shown at checkout.
1.3 These Payment Terms do not apply to self-hosted OpenFrame, which is free of charge under the license.
2. Free Trial
2.1 New organizations get a free trial. Its length and limits are shown at sign-up and in the product. No payment method is needed, nothing is charged, and trial usage is never billed.
2.2 The number of devices is not limited during the trial. When the trial tokens are used up, AI features stop until You activate a paid plan.
2.3 You can activate a paid plan at any time. The trial ends at that moment, and unused trial days and tokens are not carried over.
2.4 If You do not activate a paid plan by the end of the trial, access to OpenFrame stops, including the connection of Your devices. We keep Your data for 30 days after the trial ends so that You can activate. After that we may delete it, and we email the account owner at least 7 days before we do.
3. Plans and What You Pay For
3.1 Devices, pay as you go. Devices are billed after each monthly billing period at the pay-as-you-go rate in force for that period, with a minimum of 10 devices per period.
3.2 Devices, yearly package. You buy a package for a number of devices (minimum 10) for 12 months and pay for the 12 months in advance. In each monthly billing period the package covers that number of devices. Devices above it are billed after each monthly period at the pay-as-you-go rate.
3.3 How devices are counted. A managed device is a device in Your organization whose status is Online or Offline. For each calendar day (UTC) we record the highest number of managed devices that day. Your device count for a monthly period is the sum of those daily numbers divided by the number of days in the period, rounded up to a whole device. For example, 100 devices kept for 15 days of a 30-day period count as 50 devices. The day You activate a paid plan is not counted. The running figure is shown on the Billing page.
3.4 Billing period. A monthly billing period starts on the day of the month You activated and ends the day before that day in the next month. A yearly package renews on the anniversary of its purchase.
3.5 Included AI tokens. Each paid plan includes free OpenFrame tokens in every monthly period; the amount is shown in the product. Free tokens that are not used by the end of the period expire. Usage beyond them is paid from tokens You buy (section 5).
3.6 Activation. Activating a paid plan includes a first token purchase of at least $10.
4. Changes to Your Plan
4.1 Upgrades (a larger package, or a package in place of pay as you go) take effect when the upgrade charge is paid. The charge covers the added devices for the rest of the package year. An upgrade that is not paid within one hour is dropped and nothing changes.
4.2 Downgrades take effect at the start of the next billing period of the plan being reduced: the next month for pay as you go, the next renewal for a yearly package. You can undo a scheduled downgrade before it takes effect.
4.3 Fees already paid are not reduced or refunded when You downgrade.
5. OpenFrame Tokens
5.1 What they are. OpenFrame tokens are our unit for measuring AI usage. They are not the tokens of the AI model providers. Each AI request uses OpenFrame tokens according to the model and the size of the request and the response, at the token rates shown in the product.
5.2 Buying tokens. You can buy tokens on the Billing page for a whole-dollar amount of at least $10. The number of tokens depends on the amount and the token price shown at purchase; larger amounts may get a lower price per token. Tokens are added to Your balance when the payment succeeds.
5.3 Order of use. Free tokens are used first, then purchased tokens, oldest purchase first.
5.4 Expiry. Purchased tokens expire 12 months after the date of purchase. The expiry date is shown on the invoice and on the Billing page. We email the account owner 30 days before a balance of purchased tokens expires.
5.5 No cash value. Tokens are not money. They cannot be transferred or sold, can be used only by the organization that bought them, and are not refundable except as stated in section 9.
5.6 When tokens run out, AI features stop until You buy tokens or Your next free tokens arrive. Everything else keeps working.
6. Automatic Top-Up
6.1 Automatic top-up is off unless You turn it on. By turning it on You authorize us to charge Your saved card the amount You chose each time Your token balance falls below Your threshold, without asking You again, until You turn it off.
6.2 The threshold is 20% of Your top-up amount unless You set another. You can set a monthly limit on automatic top-ups. When the limit is reached, automatic top-up pauses until the next calendar month and we email the account owner.
6.3 We email a receipt for every automatic top-up.
6.4 If a charge is declined, or Your bank asks for a confirmation that is not completed within one hour, automatic top-up is turned off and we email the account owner. We do not retry. You keep using Your remaining tokens.
6.5 Automatic top-up is not available during the trial, after You cancel, or while Your account is suspended. You can turn it off or change it on the Billing page at any time; a change applies to future top-ups only.
7. Renewal, Cancellation and Price Changes
7.1 Automatic renewal. Your plan renews automatically until You cancel: pay as you go every month, a yearly package every 12 months for another 12 months, at the prices in force at renewal. By activating a paid plan You authorize us to charge Your saved payment method for each renewal and for usage billed after each monthly period.
7.2 Renewal reminder. We email the account owner at least 30 days before a yearly package renews, with the renewal date, the amount and how to cancel.
7.3 Cancelling. You can cancel at any time on the Billing page. Your plan then runs to the end of what You have paid for: the current monthly period on pay as you go, the paid year on a yearly package. Until then everything works as before, usage is billed as before, including devices above a yearly package, and You can undo the cancellation. A final invoice covers usage up to the end.
7.4 After You cancel, new token purchases and automatic top-up are turned off, and no free tokens are granted after Your plan ends.
7.5 After Your plan ends, access to OpenFrame stops, including the connection of Your devices. Purchased tokens stay on Your account until their expiry date and can be used again if You reactivate. We keep Your data for 30 days and may then delete it after a 7-day email notice.
7.6 Price changes. We may change prices, pay-as-you-go rates, minimums and token prices. We email the account owner and show a notice in the product at least 30 days before a change applies. A change applies from Your next monthly period, and to a yearly package from its next renewal. It never changes what You have already paid for: a yearly package keeps its price for the paid year, and purchased tokens keep their number. If You do not agree, You may cancel before the change applies.
7.7 Token rates. We may lower a token rate at any time, and we set the rate of a new model when we add it. We give at least 30 days' notice before raising the rate of an existing model, or 7 days if the raise follows a price increase by the model provider. A raised rate applies to requests made after it takes effect, including requests paid from tokens You already hold.
7.8 Available models. The AI models offered in OpenFrame change from time to time. We may add, replace or remove a model at any time without notice. The models available to You, and the rate of each, are the ones shown in the product.
8. Payment, Late Payment, Suspension and Termination
8.1 Payment. Fees are charged to Your saved payment method when they fall due. If we agree that You pay by invoice, invoices are due within 7 days of the invoice date.
8.2 If a payment fails, we retry and email the account owner. While an amount is overdue You cannot buy or change packages. Your devices stay connected, and You can still pay, read invoices and buy tokens.
8.3 Suspension. If an amount is still unpaid 30 days after it fell due, we may suspend access to OpenFrame, including the connection of Your devices, AI features and token purchases. We email the account owner at least 7 days before. Suspension does not delete data or tokens, and token expiry dates keep running. Access returns as soon as all overdue amounts are paid.
8.4 Termination. If overdue amounts are still unpaid 60 days after suspension, we may terminate the account. We email the account owner 30 days and 7 days before. On termination Your data is deleted and unused tokens are forfeited. Unpaid amounts remain due.
8.5 Records. We keep invoices and records of purchases and usage after termination for as long as tax and accounting law requires.
9. Refunds, Billing Errors and Disputes
9.1 Payments are non-refundable, including package fees, pay-as-you-go charges and tokens, used or unused, except as stated in this section or where the law requires otherwise.
9.2 Billing errors. If You think a charge is wrong, email support@flamingo.run within 60 days of the charge. If we confirm an error, we refund the incorrect amount to the original payment method or correct the invoice.
9.3 If we end the service. If we end Your plan other than for non-payment or breach, we refund the unused part of a prepaid yearly package and the price paid for unused, unexpired purchased tokens. This is Your only remedy for that event.
9.4 Chargebacks. Contact us before disputing a charge with Your bank. While a dispute is open we may suspend the account and remove the tokens bought with the disputed payment. They are restored only if the dispute is decided in our favor.
10. Taxes, Currency and Payment Processing
10.1 Taxes. Prices do not include taxes. Where we must collect sales tax, VAT or a similar tax, it is added to Your invoice based on Your billing address. You must give an accurate billing address and, if You have one, a tax ID at checkout. Send exemption certificates to support@flamingo.run.
10.2 Currency. Prices are set and charged in US dollars. Your bank may add its own fees.
10.3 Processing. Payments are processed by Stripe. We do not store card details.
11. Changes to These Payment Terms
We may change these Payment Terms. For a change that affects what You pay or when, we email the account owner at least 30 days before it applies. The version and effective date of the current terms are stated at the top, and earlier versions are available on request.
